Supported workflows
Four contract families, one agent.
The agent has been tuned on the four contract families that account for roughly 80% of legal review work in EU mid-market: NDAs, SaaS/MSA, M&A heads of terms, and employment.
NDA review (mutual & one-way)
Catch the asymmetric carve-outs that make a "mutual" NDA actually one-sided.
- Definition of Confidential Information — scope creep flags
- Term and survival clause asymmetry
- Carve-outs (industry knowledge, residuals, independent development)
- Permitted disclosures and notice obligations
- Governing law and forum selection sanity check
SaaS / MSA / SLA
Vendor MSAs hide their teeth in the SLA and the data exhibit. The agent reads everything in one pass.
- Liability cap multiples (1x / 12-month / unlimited carve-outs)
- Indemnity scope, exclusions, sole-remedy clauses
- SLA credits vs commitments — gap analysis
- Data processing exhibit: SCCs, sub-processors, transfer mechanisms
- Auto-renewal trap and exit clauses
M&A heads of terms / SPA
Spot the warranty cap, the basket, the indemnity scope and the survival period in one read.
- Warranties: cap, basket, de minimis, time limits
- Indemnification scope (specific vs general)
- Material adverse change definition
- Locked-box vs completion accounts mechanics
- Restrictive covenants reasonableness test
Employment & contractor
Restrictive covenants under French and German law differ significantly from US drafts.
- Non-compete enforceability under FR Cour de Cassation tests
- IP assignment scope and inventor compensation (FR L611-7)
- Working time and convention collective alignment
- Termination notice and indemnity calculation
- Confidentiality scope post-termination
IACCM playbook
Built on the IACCM Most Negotiated Terms.
The agent grades each clause against the World Commerce & Contracting (formerly IACCM) Most Negotiated Terms list. The list captures the clauses that consume the most negotiation time in commercial contracting and identifies the patterns that systematically disadvantage one party.
Output format
Structured memo, ready to file.
Every analysis returns the same structured memo, exportable to PDF for the client file. No free-text walls. No buried risk. Each flag carries a location, the issue, and a recommended remedy you can copy into the redline.
Integration
Web app, API, or DMS connector.
On Plus and Starter, run the agent through the live web app at app.voltagegpu.com/contract. On Pro, use the OpenAI-compatible API to wire the agent into your case management or DMS. Enterprise plans include managed connectors for iManage, NetDocuments, SharePoint and direct file watchers on Windows shares — useful for firms that route incoming contracts through a shared inbox.

FAQ
Frequently asked questions.
How accurate is the agent on French-law contracts?
The agent runs on Qwen3-235B-TEE which has strong multilingual coverage. It reliably catches clauses written in French legal terminology including "clause de non-concurrence", "indemnité de non-concurrence" and "clause de réversibilité". For French M&A, the agent flags Article 1843-4 valuation rights and the Loi Hamon notice obligations on share transfers in TPE/PME. Always verify any output against primary sources before client communication.
Can I run my own playbook on top?
Pro and Enterprise plans accept a custom playbook PDF or markdown file. The agent treats it as a system prompt extension and grades clauses against your firm-specific or in-house standards. Common imports include the IACCM Most Negotiated Terms playbook, ISDA / GMRA addenda, and bespoke M&A redline standards.
Is the analysis privileged?
Privilege analysis depends on jurisdiction. The technical posture supports privilege: enclave-sealed processing, EU controller, no third-party disclosure. The agent does not provide legal advice — it provides structured analysis a qualified lawyer relies on. Treat outputs as work product subject to your standard privilege workflow.
What happens to my contract files after analysis?
Default policy: zero retention. Prompts and outputs flush when the TDX enclave exits. Pro and Enterprise customers can opt into a 30-day audit retention with explicit DPA addendum. Files uploaded via the live Contract Analyst tool are processed in memory only.
Bring your hardest NDA. We'll do the rest.
